1. Introduction

1.1 These Terms and Conditions ("T&Cs") govern all transactions and agreements entered into with Irish Trading Whiskey Limited ("ITW").
1.2 ITW specialises in the sourcing and supply of whiskey casks, acting as an intermediary between distilleries, cask suppliers, and clients.
1.3 By purchasing casks through ITW, you acknowledge and agree to be bound by these T&Cs in full.
1.4 ITW reserves the right to update, modify, or amend these T&Cs at any time.


2. Business Model & Scope

2.1 ITW operates exclusively as a cask supplier, facilitating the sale of whiskey casks from distilleries and cask suppliers to retail and trade clients.
2.2 ITW does not engage in the resale or distribution of casks or bottled whiskey purchased by any retail or trade clients.
2.3 ITW does not provide guarantees on future valuations, exit strategies, or investment returns.
2.4 All transactions are subject to availability, and ITW reserves the right to withdraw any product from sale without prior notice.
2.5 ITW makes a front-end margin on each and every cask sold. This margin depends on the volume of bulk purchases and may vary from one distillery to another.


3. Client Eligibility & Refusal Rights

3.1 ITW reserves the right to refuse service to any retail or trade client under certain circumstances at its sole discretion, including but not limited to instances where the client fails to provide necessary identification or verification documents, is suspected of fraudulent activity or potential financial risk, or has breached any prior agreement with ITW.
3.2 All retail clients must provide a photo ID and proof of address dated within the last 90 days to comply with UK KYC and AML regulations.
3.3 The decision to accept or refuse a client is final and not subject to appeal.


4. Storage & Insurance

4.1 ITW provides storage and insurance coverage for whiskey casks under the following terms: for Irish whiskey casks, coverage is provided for 5 years from the date of purchase; for Scottish whisky casks, coverage is provided for 1 year from the date of purchase.
4.2 Clients acknowledge that after these periods, they must arrange their own storage and insurance solutions.
4.3 ITW is not liable for any deterioration in quality or condition of casks over time, including natural evaporation (angel’s share).


5. Ownership Documentation

5.1 When purchasing an Irish whiskey cask, clients will be registered with the respective distillery and receive full ownership documentation directly from the distillery within 90 days, subject to postal services.
5.2 For Scottish whiskey casks, ownership documentation depends on the source of the supplier; clients will receive either a certificate of ownership or a delivery order.
5.3 Scottish cask ownership documents will be delivered via email or post.
5.4 Ownership can be verified by either the distillery or the bonded facility where the casks are stored.


6. Client Responsibilities & Financial Risk

6.1 By signing the Pandadoc document online, you expressly agree to all ITW T&Cs.
6.2 You acknowledge that any financial risks or losses arising from your purchase are solely your responsibility.
6.3 ITW strongly advises all buyers, both retail and trade, to seek professional financial and legal advice before making any investment in the whiskey market.
6.4 You should not part with any funds unless you fully understand and accept the risk that you may lose all your invested money.
6.5 ITW does not provide tax advice, and clients should seek professional guidance regarding any applicable duties, VAT, or other tax obligations.


7. Liability & Disclaimer

7.1 ITW provides no guarantees regarding the future value, resale, or profitability of any cask purchased.
7.2 ITW is not liable for any losses, direct or indirect, arising from changes in market conditions, cask deterioration, force majeure events, or any other risk factors.
7.3 ITW does not provide financial, investment, or tax advice and recommends consulting professionals before making any commitments.
7.4 ITW shall not be responsible for third-party claims or disputes relating to the ownership, resale, or use of any whiskey casks purchased through ITW.


8. Governing Law & Jurisdiction

8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
8.2 Any disputes arising from these T&Cs shall be subject to the exclusive jurisdiction of the courts of England and Wales.


9. Amendments & Updates

9.1 ITW reserves the right to amend these Terms and Conditions at any time without prior notice.
9.2 Clients are encouraged to review the T&Cs periodically to ensure compliance with any updates.
